Any provision of this User Agreement that is prohibited by law, or is unlawful or unenforceable under applicable law, shall be ineffective only to the extent of such prohibition, without invalidating the remaining provisions of this User Agreement. This User Agreement and all matters relating to the use of and access to this site shall be governed in all respects by the laws of the State of Texas and the United States. Any claim arising out of this User Agreement or use of and access to this site shall be subject to the exclusive jurisdiction and venue of the Texas state courts of Harris County, Texas, or, if and only if there is exclusive federal jurisdiction, the United States District Court for the Southern District of Texas. You irrevocably consent to the personal and exclusive jurisdiction of these aforementioned courts. No failure of StarTex.com to insist upon strict performance of the terms or conditions of this User Agreement or as otherwise set forth in StarTex.com or as required by StarTex.com ("terms and conditions") and no failure of StarTex.com to exercise any right or remedy available upon any breach of said terms or conditions shall constitute a waiver of any such breach or of any of such terms or conditions.
